Terms and Conditions of Service: MSP Visual Ltd. (Trading as "We Shoot Any Product")

1. Definitions

In these Terms and Conditions, the following terms shall have the following meanings:

"Client" means the person or company purchasing the Services from MSP Visual Ltd. (including its trading name "We Shoot Any Product").

"Images" means all photographs, digital files, or other visual content produced by MSP Visual Ltd. in connection with the Services.

"Services" means the photography services provided by MSP Visual Ltd. as described in the relevant quotation or agreement.

"Invoice" means the invoice issued by MSP Visual Ltd. for the Services.

2. Acceptance of Terms

By engaging MSP Visual Ltd. (trading as "We Shoot Any Product") for photography services, or by employing the Services of MSP Visual Ltd., the Client automatically agrees to these Terms and Conditions, including any updates or amendments.

3. Scope of Services

MSP Visual Ltd. shall provide the Services as specified in the quotation or agreement. Any changes to the scope must be agreed upon in writing and may incur additional charges.

4. Fees and Payment

The Client shall pay the fees as set out in the invoice.

Payment is due within 30 days of the date of the invoice unless otherwise agreed.

MSP Visual Ltd. reserves the right to suspend or withhold delivery of Images until full payment has been received.

5. Delivery of Images

Images will be delivered in the format agreed upon in the quotation or contract.

Delivery times are estimates and may be subject to change due to unforeseen circumstances.

6. Copyright and Intellectual Property

All copyright and intellectual property rights in the Images shall remain with MSP Visual Ltd. unless explicitly transferred in writing.

The Client shall have a non-exclusive, non-transferable license to use the Images for the purpose specified in the agreement.

7. Transfer of Copyright

The copyright for the Images can only be assigned or transferred to the Client on a continued basis if the Client has paid all invoices issued by MSP Visual Ltd. to date in full.

Such transfer must be agreed in writing and may be subject to additional licensing fees.

8. Client’s Use of Images

The Client agrees to use the Images solely for the purposes agreed upon and shall not modify, reproduce, or distribute the Images beyond the scope of the license without prior written consent from MSP Visual Ltd.

9. Props and Materials

Any props, materials, or items supplied by the Client or procured specifically for the photographic assignment shall be paid for by the Client, even if the photographic assignment is subsequently cancelled.

The Client shall reimburse MSP Visual Ltd. for any costs incurred in acquiring such props or materials.

10. Cancellation and Postponements

Cancellations must be made in writing and may be subject to cancellation fees.

In the event of postponement, MSP Visual Ltd. will reschedule at the earliest mutually convenient date, but reserves the right to charge additional fees for rescheduling.

11. Violation of Terms and Cancellation of Copyright Transfer

If the Client breaches or violates any of these Terms and Conditions, MSP Visual Ltd. reserves the right to cancel or revoke the assignment of copyright for any photographs taken by MSP Visual Ltd. and to refuse further use or licensing of the Images.

Such violation may include, but is not limited to, misuse of the Images, unauthorized modification, or failure to adhere to agreed-upon terms of use.

12. Liability

MSP Visual Ltd. shall not be liable for any indirect or consequential damages arising from the use of the Images or the Services provided.

The Client is responsible for obtaining any necessary permissions or consents for the use of the Images.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of [Jurisdiction], and any disputes shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

14. Entire Agreement

These Terms and Conditions, along with any written quotations or agreements, constitute the entire agreement between MSP Visual Ltd. (trading as "We Shoot Any Product") and the Client.
